These Terms of Use (“Terms”) govern your access to and use of www.umdistributors.com, its associated dealer portal, and related websites, forms, content, services, and features operated by Ultimate Marketing Inc., also doing business as UM Distributors (“Ultimate Marketing,” “we,” “us,” or “our”).
By accessing or using our website, creating an account, submitting an application or form, or placing an order, you agree to these Terms. If you do not agree, do not use the website.
1. Business-to-Business Website
Ultimate Marketing is a dealer-only distributor and manufacturer’s representative serving authorized businesses in the 12-volt electronics industry and related markets.
Our products, pricing, programs, and dealer resources are intended primarily for approved business customers and are not generally offered for consumer or personal use.
You must be at least 18 years old and legally authorized to act on behalf of the business you represent to submit an application, create an account, accept these Terms, or place an order.
2. Dealer Applications and Account Approval
Submitting a dealer application does not guarantee approval, access to every brand, credit terms, protected territory, particular pricing, or continued dealer status.
We may request information reasonably necessary to verify your business, ownership, resale status, tax status, creditworthiness, trade references, location, and intended use of our products.
Ultimate Marketing may approve, reject, suspend, limit, or terminate an application or dealer account when reasonably necessary to protect our business, comply with manufacturer requirements, address account inactivity, prevent misuse, or comply with applicable law.
Brand authorization, territories, purchasing requirements, pricing levels, payment terms, and other dealer benefits may be subject to separate written agreements, manufacturer programs, or account requirements.
3. Account Credentials and Security
You are responsible for maintaining the confidentiality and security of your username, password, dealer pricing, and account information.
You are responsible for activity conducted through your account unless you promptly notify us of suspected unauthorized access. You may not share account credentials or confidential dealer information with unauthorized persons, competitors, consumers, or other businesses.
Notify Ultimate Marketing promptly if you believe your account has been accessed or used without authorization.
4. Dealer Pricing and Confidential Information
Dealer pricing, discounts, promotions, programs, inventory information, product materials, account information, and other nonpublic information made available through our website or dealer portal may be confidential.
You may use this information only for legitimate business with Ultimate Marketing. You may not publish, distribute, scrape, reproduce, or disclose confidential dealer information without our written permission.
Manufacturer advertising policies, including applicable minimum advertised price policies, may be governed by separate manufacturer documents or dealer agreements.
5. Product Information and Availability
We attempt to provide accurate product descriptions, photographs, specifications, pricing, inventory, and compatibility information. However, errors, omissions, delays, and discrepancies may occur.
Product images may differ slightly from the actual product. Specifications, packaging, programs, prices, and availability may change without notice.
Inventory displayed online is not guaranteed until an order has been accepted and processed. Ultimate Marketing may correct errors, update information, limit quantities, substitute corrected information, or cancel affected orders.
Dealers are responsible for confirming product suitability, application, compatibility, installation requirements, and compliance with applicable laws before selling or installing a product.
6. Orders and Acceptance
An order submitted through the website or dealer portal is an offer to purchase and is subject to acceptance by Ultimate Marketing.
An automated order confirmation does not necessarily constitute final acceptance. We may verify account status, pricing, inventory, payment, shipping information, purchasing eligibility, or possible fraud before accepting an order.
We may reject, cancel, place on hold, or limit an order due to inventory shortages, incorrect information, pricing errors, account issues, payment problems, manufacturer restrictions, suspected fraud, or other legitimate business reasons.
If payment has already been collected for an order we cancel, we will provide an appropriate refund or account credit.
7. Payment, Credit and Taxes
You agree to provide accurate and current billing, payment, tax, and account information.
Orders are subject to the payment or credit terms assigned to your account. Credit approval, credit limits, personal guarantees, payment authorizations, finance charges, collection costs, and related obligations may be governed by separate credit documents or agreements.
You are responsible for applicable taxes unless we have accepted valid exemption documentation. You are responsible for keeping resale certificates and other exemption information current.
Past-due accounts may be placed on hold, suspended, referred for collection, or otherwise handled according to applicable agreements and law.
8. Shipping and Delivery
Shipping charges, methods, estimated delivery dates, freight requirements, inspection responsibilities, and related conditions are governed by the Shipping Policy posted on our website and any applicable written account terms.
Delivery dates are estimates unless expressly guaranteed in writing. Ultimate Marketing is not responsible for delays caused by carriers, weather, supply shortages, manufacturers, incorrect addresses, or circumstances beyond our reasonable control.
Dealers should inspect shipments promptly and report shortages, damage, or shipping discrepancies according to our posted policies and carrier requirements.
9. Returns and Return Authorizations
Returns require prior approval and may require a Return Merchandise Authorization or Return Authorization number.
Returns, restocking charges, deadlines, condition requirements, shipping responsibility, exclusions, damaged shipments, and credits are governed by the Return Policy posted on our website and any applicable manufacturer policy.
Submitting a return request does not guarantee that the return will be approved or credited.
10. Product Warranties
Products may be covered by warranties issued by their respective manufacturers. Manufacturer warranties, procedures, exclusions, remedies, and eligibility requirements control warranty claims for those products.
Unless expressly stated in writing, Ultimate Marketing does not create an additional product warranty beyond the applicable manufacturer’s warranty.
Dealers are responsible for following applicable manufacturer warranty procedures and providing accurate purchase, installation, product, and customer information when submitting a claim.
11. Installation and Technical Information
Technical information, recommendations, training, diagrams, compatibility guidance, and other assistance are provided for general informational purposes.
Professional judgment may be required for individual vehicles, vessels, motorcycles, powersports applications, electrical systems, and installations. The dealer or installer remains responsible for verifying compatibility, using proper installation methods, following manufacturer instructions, and complying with applicable safety requirements and laws.
12. Acceptable Use
You may not:
- Use the website for unlawful, fraudulent, deceptive, or unauthorized purposes
- Attempt to access another dealer’s account or restricted information
- Share confidential dealer credentials, pricing, or account information
- Interfere with the website’s operation, security, or availability
- Introduce viruses, malicious code, automated attacks, or harmful technology
- Scrape, harvest, extract, or systematically collect website data without written permission
- Copy, reproduce, republish, sell, or commercially exploit website content without authorization
- Misrepresent your identity, authority, business, tax status, or dealer eligibility
- Use the website in a manner that infringes the rights of Ultimate Marketing, a manufacturer, another dealer, or any third party
13. Intellectual Property
The website and its original text, graphics, layout, photographs, videos, logos, software, and other content are owned by or licensed to Ultimate Marketing and are protected by applicable intellectual-property laws.
Manufacturer names, trademarks, product images, and logos belong to their respective owners and are used for identification, distribution, marketing, or sales purposes as authorized.
You receive a limited, revocable, nonexclusive right to access and use the website for legitimate business with Ultimate Marketing. No ownership rights are transferred to you.
14. Third-Party Websites and Services
Our website may link to or integrate with third-party dealer portals, payment processors, accounting systems, electronic-signature providers, shipping carriers, manufacturers, social-media platforms, videos, forms, and other services.
Ultimate Marketing does not control every third-party service and is not responsible for its availability, content, privacy practices, security, or separate terms. Your use of a third-party service may be governed by that provider’s terms and policies.
15. Privacy, Cookies and Communications
Our collection and use of personal information are described in our Privacy Policy.
Our website may use cookies, analytics, pixels, and similar technologies as described in the Privacy Policy and any cookie notice displayed on the website.
If you subscribe to marketing emails or text messages, those communications are subject to the consent language shown when you subscribe. You may unsubscribe from marketing emails through the link provided in each email and may opt out of text messages by replying STOP.
Transactional communications regarding applications, accounts, orders, payments, shipments, returns, warranties, or customer service may still be sent when reasonably necessary.
16. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the website and its content are provided on an “as available” and “as is” basis.
Ultimate Marketing does not guarantee that the website will always be uninterrupted, error-free, secure, or free from harmful components, or that all information will always be complete, current, or accurate.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
17. Limitation of Liability
To the fullest extent permitted by applicable law, Ultimate Marketing and its officers, employees, representatives, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the use of, or inability to use, the website.
This limitation includes, where permitted, lost profits, lost sales, lost data, business interruption, loss of goodwill, or costs resulting from reliance on website information.
Nothing in these Terms limits liability that cannot legally be limited or excluded. Rights and remedies concerning purchased products may also be governed by applicable written agreements, manufacturer warranties, and law.
18. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Ultimate Marketing and its officers, employees, and representatives from third-party claims, liabilities, losses, costs, and reasonable attorneys’ fees arising from:
- Your unlawful or unauthorized use of the website
- Your violation of these Terms
- Your infringement of another party’s rights
- False or inaccurate information you provide
- Your improper sale, installation, representation, or use of a product
This provision does not apply to the extent a claim was caused by Ultimate Marketing’s own unlawful conduct or where indemnification is prohibited by law.

We may suspend or terminate website or dealer-portal access if we reasonably believe an account has been misused, compromised, used fraudulently, or operated in violation of these Terms, another applicable agreement, manufacturer requirements, or law.
Termination of website access does not eliminate payment obligations or other responsibilities incurred before termination.
20. Separate Agreements and Order of Priority
These Terms govern general use of the website.
Separate dealer agreements, credit agreements, territory agreements, manufacturer programs, personal guarantees, payment authorizations, purchase terms, or other written agreements may also apply.
If these Terms conflict with a separately signed written agreement between you and Ultimate Marketing, the separately signed agreement will control regarding the specific subject it addresses. Applicable manufacturer warranty and program documents will control matters assigned to the manufacturer.
21. Changes to These Terms
We may update these Terms to reflect changes in our website, services, business practices, or legal obligations.
Updated Terms will be posted on this page with a revised “Last Updated” date. Continued use of the website after updated Terms become effective constitutes acceptance to the extent permitted by law.
Material changes will not retroactively alter separately signed agreements unless those agreements permit the change or the parties agree in writing.
22. Electronic Communications
You consent to receive agreements, notices, disclosures, confirmations, and other business communications electronically when permitted by law.
Electronic records and signatures may have the same legal effect as paper records and handwritten signatures, subject to applicable law and any separate agreement.

25. Governing Law and Venue
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles.
Unless a separate written agreement provides otherwise, disputes relating to these Terms or use of the website will be brought in an appropriate state or federal court located in South Carolina, and the parties consent to that jurisdiction and venue.
